A Cyber Security Company is seeking a Technology Contracts Manager (Legal Documents) in New York City, NY.

Our client a rapidly growing cybertech product startup is seeking a Contracts Manager to review, redline, and negotiate agreements, company-wide. Responsibilities will include NDA review, RFP review, Master Agreement review, Partnership review, contract negotiations, and SOW review. Additional responsibilities will include working with software licensing, subscriptions, software-as-a-service, business and technical consulting, materials and related services. Role Description
• Review, redline, and negotiate agreements, company-wide.
• Responsibilities will include NDA review, RFP review, Master Agreement review, Partnership review, contract negotiations, and SOW review
• Responsibilities will include working with software licensing, subscriptions, software-as-a-service, business and technical consulting, materials and related services
• Prefer a specialization in Cybersecurity related contracts
• Proficient in contract closeout/deal desk processes
• Draft contract language and update contracting templates such as master agreements, terms and conditions, purchase orders, change orders, and statements of work.
• Provide consultation and support to internal clients during the contract development and negotiation phase.
• Update contracting policies and procedures for negotiations and governing use by internal stakeholders (e.g., law, audits, risk management, and cybersecurity) and supplier-provided agreements.
• Provide regulatory data requests support to records management.
• Conduct contract reviews for audit compliance to support the Audit Department.
• Consult and discuss with operations and sales on contracting best practices and contractual matters (liaising with the Legal Team as needed).
• Management of legal collaboration software, development of related training materials, production of enhancements and workflow process improvements.
• Support company growth by reviewing, revising and negotiating contracts and assist in resolution.
• Recommend improvements and innovations to contract templates and the contract process; and recommend and ultimately, implement a contract administration system and process.
• Apply best practices methodologies to develop and implement contract strategies to support the sales process, change order process and renewal processes and templates.
• Analyze and solidify an overall contract strategy. Assume ownership of company library of Customer-related Agreement Templates and "standard, non-standard" language, as well as Customer-related Statement of Work Templates. Create language standards and rules for existing and new agreements.
• Assist with drafting, customizing and delivering Agreements and Statements of Work.
• Analyze contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, company and third-party supplier policies and practices.
• Participate, and when appropriate take the lead, to negotiate terms and perform follow up necessary to ensure they are accurately executed and satisfied. Take point for all communication with legal, executive, finance and business team constituents for resolution of contract issues and disputes.
• Develop metrics and reporting to measure contracting time with a view to improving turnaround time.
• Oversee processing, administration and safekeeping of all Agreements. Evaluate needs, recommend and ultimately implement and exercise ongoing ownership of a contract management system.
• Advise and assist leadership in other matters requiring legal research, advice or outside counsel involvement.

Skills & Requirements
• Complete fluency in common technology terms used in legal documents, such as Cloud vs On Prem, SAAS, SLAs, etc.
• Proficient knowledge of legal document collaboration, redlining, versioning
• Ability to extensively negotiate legal documents
• Communicate and partner with global teams and partners
• Proficient knowledge of working with Salesforce data entry, relationships, contracts, orders
• Proficient knowledge of working with Cloud based storage systems (ex: Dropbox, Google Drive)
