GHD North America has an opportunity for an In-house Counsel position (United States) reporting directly to GHD's Senior Legal Counsel. The successful applicant will join a collaborative 20+ person Americas Legal, Risk & Compliance Team and provide support to an ambitious 3,800 person strong growing North American business. This role is eligible for a hybrid work arrangement, subject to the terms of GHD's Global Flexible Work Operational Policy.

As part of the Legal, Risk & Compliance Team in the capacity of Legal Counsel, US, the successful candidate will be responsible for the following duties:

  • Undertaking contract drafting, review and negotiation and advising regarding project pursuit in support of GHD's US professional engineering and consulting business (including GHD's growing Federal contracting and alternative project delivery portfolios);
  • Managing project disputes, potential claims and litigation matters, both directly and with local external counsel, and occasionally attending at mediations or hearings; and
  • Advising GHD's internal client base in respect of a host of ad hoc legal, risk and compliance matters, including: legislative compliance; anti-corruption compliance and integrity management; professional licensing compliance; corporate transactions; employment law and corporate policies; privacy, data security, data breach response, and anti-spam compliance; real estate; etc.
Primary Duties - Specific

A. Risk allocation - contract review and management:
  • Review and negotiate client and subcontractor agreements, primarily related to GHD's core professional services of engineering and consulting.
  • Liaise with internal GHD clients and company clients re: project pursuits and contracts
  • Negotiate contracts with external parties
B. Risk Mitigation - project dispute, potential claims and litigation management and support on workplace investigation matters:
  • Provide real time advice to internal GHD clients striving to de-risk project disputes
  • Manage external counsel and liaise with insurers in conduct of GHD's errors and omissions litigation matters
  • Prosecute and oversee GHD-driven claim matters (including advising and assisting on client non-payment, including coordinate collection efforts
  • Report to GHD's Senior Counsel, US, in respect of claim status and regarding reserves for contingent liabilities
C. General Legal Support
  • Provide advice to internal GHD clients on various ad hoc legal, risk and compliance matters, including: legislative compliance; employment law and corporate policies; alternative project delivery; professional licensing; real estate; Federal contracting; intellectual property; privacy, data security, data management and data breach response, and anti-spam compliance; subpoena response; mergers and acquisitions; etc.
Minimum Education, Requisite Training, and Certification and Professional Standing:
  • Obtained Juris Doctor degree from an accredited US law school
  • Licensed to practice law and an active member in good standing with the State Bar of the State of residence
  • An approximate minimum of five years experience in a major law firm or combination of law firm and in-house legal department experience.
  • Background in one or several of the following fields:
  • Transactional experience drafting and negotiating commercial agreements with emphasis on professional services;
  • Litigation experience (defense, commercial, or professional services preferred).
  • Self-starter that requires minimal direction to stay on task, work efficiently, and complete assigned tasks in a timely and cost-effective manner
  • Strong analytical skills with the ability to identify and manage priorities
  • Ability to travel (< 5%)

Salary Range: $120,000 - $130,000 based on experience.
