SouthWest Water Company (SWWC) is seeking a General Counsel to lead our legal function for our Texas utilities. Reporting to the President of Texas Utilities and SouthWest Water General Counsel, this is an excellent opportunity to make a meaningful impact on the further growth of SouthWest Water's successful footprint in Texas. The successful candidate will help implement our strategy to grow our established water and wastewater utility ownership. This position will also participate in implementing our acquisition strategic plan, provide legal guidance and direction as we seek out and evaluate new opportunities and negotiate acquisitions from Letter of Intent to closing deals.

PRIMARY DUTIES:
As a senior member of our Texas Utilities Leadership Team, this position will be responsible for:

  • Serving as a primary legal advisor on all Texas business transactions, including asset and stock acquisitions and greenfield development deals.
  • Assisting the development and implementation of the growth strategy and business development plan for our Texas business in conjunction with the overall SWWC strategic
  • Providing legal advice, performing due diligence on acquisitions and documenting the acquisition process in compliance with SWWC
  • Reviewing and negotiating all forms of contracts and third-party agreements with vendors and partners such as supply agreements, services agreements, statements of work, contractor agreements, construction contracts, master service and product purchase agreements, maintenance and support agreements, leases, easements, and confidentiality
  • Providing guidance on legal issues and risk mitigation strategies relating to corporate
  • Ensuring that the Company conducts its business in compliance with applicable laws and
  • Legal aspects of the Company's financing, including assessing and advising on current and future business structures and legal entities and bank financing
  • Partnering with the SWWC General Counsel regarding the development and update of corporate policies, procedures, and programs pertaining to the Texas Utilities
  • In coordination with SWWC General Counsel, assisting in the management of litigation and
  • Providing timely, high-quality analysis and pragmatic advice on legal and business
  • Providing proactive legal and business counseling on a broad range of topics, including general commercial law, contract interpretation, employment law, and corporate
  • Leading and participating in special projects and performing other duties as requested by the Texas Utilities President and or SWWC General Counsel.
MINIMUM REQUIREMENTS:
  • Juris Doctorate degree from an ABA accredited law
  • Admission in good standing with the Texas State bar. License must be current and remain current during employment
  • A minimum of 5-7 years of diversified practice with a law firm or the law department of a corporation including significant experience in taking a lead role in negotiating acquisitions and drafting definitive documents.
  • Experience advising on corporate governance
  • Excellent negotiating, drafting and counseling skills, with experience resolving conflict between groups with opposing perspectives, agendas or
  • Outstanding written and oral communication skills with ability to communicate effectively with employees of all levels of the Company as well as counterparties.
  • Strong attention to detail and high-quality work
  • High level of discretion when handling sensitive and highly confidential
  • High level of initiative, self-sufficiency and self-direction.
