Job Description:

This position is an opportunity for a talented commercial transactions attorney to serve in an impactful, business-oriented in-house legal role in the healthcare IT industry, supporting ZOLL's Data Systems business. Serving as a critical member of a dynamic team, Counsel will partner with the business to review, negotiate, and draft a wide range of commercial agreements and provide legal advice on a broad range of issues.

The position supports all levels of the business but entails significant interaction with business leadership across all functions, and accordingly requires meaningful judgment, discretion, and organizational intelligence. Counsel will collaborate with internal clients in all functional areas, including sales, R&D, marketing, and customer success. Success will help drive sales acceleration and speed new offerings to market. This person will work alongside other subject-matter experts in intellectual property and data security.

Counsel may also occasionally support corporate-wide initiatives and the legal needs of ZOLL's other business units, as the legal department works collaboratively based upon workload and bandwidth.

The position reports to the Director, Legal and Compliance, located in Broomfield, CO.

Essential Functions:

  • Draft and Negotiate Contracts -Draft, review and negotiate all forms of contracts and third party agreements with customers, vendors, and partners. Examples include software license and ASP customer agreements, business associate agreements, reseller agreements, and service agreements. In particular, the sales process can entail significant contract negotiation.
  • Advise the Business - Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients. Provide proactive legal and business counseling on a broad range of topics, including, general commercial law, contract interpretation, and, in conjunction with other subject-matter experts, intellectual property.
  • Support Corporate Initiatives - Assist with corporate-level initiatives Or other duties as assigned by the Director, Legal and Compliance.

Skills Requirements:
  • Exceptional oral and written communication and interpersonal skills, including the ability to actively listen
  • Excellent business judgment and sound decision-making ability
  • Ability to interface professionally and effectively with all levels of personnel internally and externally, up to and including senior executives and other key personnel
  • Strong ability to draft and negotiate legal documents, with attention to detail
  • Proactive, organized, self-motivated and self-disciplined work ethic, with the ability to re-prioritize in "real time" when faced with competing pressures and demands on time
  • Ability to manage multiple priorities with a "can do" attitude and collegial, collaborative tone
  • Outgoing and confident personality, friendly demeanor, positive attitude and great sense of humor

Required/Preferred Education and Experience:
  • A minimum of five years of legal experience as a commercial transactions attorney in private practice, in-house, or preferably a mix of both
  • Graduate of an accredited law school and currently licensed to practice law in the employee's state of residence
  • Ability to perform the essential duties and responsibilities of the position, as described above and as modified from time to time based on ZOLL's diverse and evolving needs
  • Experience supporting an internal sales organization strongly preferred
  • Experience in technology companies preferred, and in particular experience with SaaS
  • Experience in health care preferred

Compensation Grade: Salary. $130,000 - $160,000 salary. Actual salaries will vary and may be above or below the range based on various factors including but not limited to location, experience, and performance. The range listed is just one component of ZOLL's total compensation package for employees. Other rewards may include annual bonuses. In addition, ZOLL provides a variety of benefits to employees, including health insurance coverage, an employee wellness program, life and disability insurance, a retirement savings plan, paid holidays and paid time off (PTO).
