Job Description

GM is looking for a talented corporate governance professional to be a key member of the Office of the Corporate Secretary. This position works directly with the Corporate Secretary on various corporate governance matters. The Analyst will play a key role in, among other things: support for the GM Board of Directors; proxy solicitation and strategy; off-season and in-season shareholder engagement plans and processes; governance research, benchmarking, and expertise; and retail shareholder support and services.

Roles and Responsibilities:
• Support the Company's Board of Directors and its committees, including by assisting in the preparation of agendas, minutes and resolutions, distribution of meeting materials, and maintenance of the Company's corporate books and records
• Provide project management support for the Company's ESG and Proxy shareholder engagement efforts, by assisting in scheduling meetings with investors, analyzing trends and voting records, and preparing minutes
• Monitor ESG and Corporate Governance trends on an on-going basis
• Conduct routine NYSE listing compliance
• Manage observance and periodic updating of various policies and programs administered by the Office of the Corporate Secretary, including: non-employee director compensation; corporate aircraft use; Related Party Transactions; director independence; etc.
• Support retail shareholder support services, including relationship with and activities of transfer agent
• Develop and improve Corporate Secretary processes and documentation
• Support the Legal department in other related areas, assigned tasks and special projects


    Additional Job Description

    Required Qualifications & Experience:
    • 7+ years professional experience in corporate governance, proxy voting, or ESG
    • Experiencesupporting the Board of Directors of a public company
    • Demonstrated subject matter expertise in corporate governance, including working knowledge of ISS, Glass Lewis, and institutional investor voting guidelines
    • Organized,process oriented, and deadline driven
    • Strong interpersonal skills and ability to work well across the Company
    • Strong written and oral communication skills
    • Ability to manage a heavy and diverse workload, handle multiple assignments simultaneously, and organize and execute with minimal supervision
    • Experience managing outside vendors
    • Ability to deal with unpredictability and rapidly changing priorities
    • Flexibility and willingness to work extended hours from time to time (e.g., on weekends in advance of Board meetings)
    • Flexibility and willingness to assist in areas outside of the role's defined scope as needed
    • Strong commitment to ethics and integrity and an ability to maintain the highest level of confidentiality

    Education:
    • Bachelor's degreeor higher
