Job Summary:

This position is responsible for helping to execute the corporate development activities necessary for ZOLL to meet its long term growth targets. Position reports to the VP of Corporate Development.

Essential Functions:

Major Responsibilities

  • Develop and maintain valuation modeling for potential M&A and investment targets. Work with corporate and divisional financial leaders to create models that reflects future P&L, Balance Sheet and Cash Flow projections.
  • Track performance and major events of identified, potential, acquisition and investment targets through earning reports, analyst coverage and target interaction.
  • Manage reports, track important dates, meetings and financial documents of ZOLL's corporate venture capital portfolio.
  • Coordinate and help facilitate business development meetings, including cross-functional diligence and integration sessions.
  • Identify, track and attend key industry events, including relevant sponsored meetings, clinical and technical associations and healthcare events sponsored by investment banks, venture and private equity networks.
  • Working with divisional strategy leaders, document midterm strategic priorities of each division.

Management of Specific Projects
  • "Own" the acquisition model throughout the M&A process, including during diligence with a transfer plan for post-merger integration.
  • Coordinate due diligence meetings; ensuring proper representation from each function and documenting key open and closed items throughout the process.
  • Maintain the diligence issues list and coordinate fulfillment of open items with sellers' representatives.
  • Help create and coordinate document production that will be presented to senior ZOLL and AK management which accurately describe the risks and benefits of investments under consideration.
  • Work closely with relevant business leaders and functional management within ZOLL's relevant divisions.
  • Related to ZOLL's corporate venture portfolio, track BOD meeting dates and ZOLL attendees, compile and summarize company financial records/update and create quarterly reports on portfolio performance.
  • Compile and maintain a list of potential "tuck-in" targets identified by divisional strategy leaders. Regularly update list based on most recent company or industry developments.

Skills Requirements:
  • 2 - 4+ years of investment banking, corporate strategy, strategic consulting or corporate development experience, preferably in the medical device industry,
  • A knowledge of advanced financial modeling techniques is required.
  • Demonstrated knowledge of M&A analysis, practices, valuation techniques and current trends including an ability to identify and evaluate the impacts of potential transactions to the corporate and divisional P&L.
  • Ability to manage and prioritize multiple projects that may be occurring within the same period.
  • Strong organizational and facilitation skills. Must be able to coordinate meetings with stakeholders from several parts of the organization as well as outside vendors, consultants and advisors.
  • Ability to organize, prioritize and execute multiple projects, sometimes simultaneously.
  • Willingness to be flexible and contribute to projects in a variety of ways.
  • Must have strong interpersonal and skills and ability to collaborate with personnel across different divisions and levels of the organization.

Required/Preferred Education and Experience:
  • BA/BS degree; MBA preferred
