Position Pay Range:

This range represents the low and high end of the salary range for this position. Actual salaries will vary based on factors including but not limited to geographical location and experience.

$154,924.00-$247,879.00

We are seeking a Chief Counsel - Mergers & Acquisitions, reporting to the SVP and Deputy General Counsel. In this role, you will be primarily responsible for advising and supporting our M&A and strategic investments in our growing company. In addition, you will provide a full range of legal advice in services in areas such as complex technology transactions, strategic partnerships and regulatory and compliance matters.

Position Details:

Responsibilities

  • Draft, review and revise customary M&A transaction documents

  • Lead due diligence process for M&A transactions

  • Lead post-close legal and corporate governance integration activities.

  • Actively collaborate with and manage outside counsel.

  • Support and advise on general corporate governance and board matters.

  • Provide general legal advice to CSG clients on day-to-day sales, marketing and operational matters.

  • Monitor and ensure legal compliance with CSG's standards and applicable regulatory requirements of supported businesses.

Required Qualifications

  • At least 5 years of progressive experience in transactional work, with an emphasis on M&A transactions.

  • Ability to manage transactions with minimal oversight.

  • Strong analytic capabilities and written and oral communication skills.

  • Effective negotiator with strong business acumen and ability to serve as a business advisor.

  • Ability to collaborate across functions and teams, work independently and efficiently, manage multiple projects simultaneously under time pressure and consistently meet deadlines with high quality work product.

  • Sound judgment, excellent interpersonal skills with proven experience in relationship building and partnering. Must work well in both team and individual settings and be comfortable providing executive-level guidance.

  • Excellent communication skills, especially simplifying complex issues for non lawyers.

  • J.D. from accredited law school and licensed or qualified to practice law in the United States.

Preferred Additional Qualifications

  • Diverse transactional experience, including M&A, venture capital and investment transactions.

  • Prior corporate securities experience.

  • Prior in-house experience.

  • Prior experience drafting and negotiating technology-related agreements.
